Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of CouchCode, including our website, software, apps, daemon, relay, APIs, documentation, beta features, and related services.

By accessing or using CouchCode, you agree to these Terms. If you do not agree, do not use CouchCode.

1. The Service

CouchCode is a tool for remotely interacting with coding agents, development tools, terminals, approval prompts, sessions, and related workflows.

The service may include local software, mobile apps, relay infrastructure, hosted services, beta features, experimental features, and integrations with third-party tools.

CouchCode is evolving. Free, beta, experimental, and hosted-relay features may change, break, be limited, throttled, suspended, or discontinued (see “Availability and Changes”). CouchCode currently offers functionality without charge. We may introduce paid features, subscriptions, hosted-service limits, premium capacities, bundles, or different plan structures in the future. A feature being available without charge today does not guarantee that every future version, capacity level, hosted implementation, or packaging of that feature will remain free indefinitely. Any pricing change applies prospectively, and applicable prices will be shown before purchase.

2. Eligibility

You may use CouchCode only if you can legally agree to these Terms and use the service under applicable law.

If you use CouchCode on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Devices, Pairing, and Security

CouchCode does not require a central account. Instead, your phone pairs directly with a daemon running on your own computer, so security largely depends on the devices, credentials, and environments you control. You are responsible for:

• Your paired devices and the computers running the daemon
• Your device credentials, pairing codes, and any app-lock PIN or biometric lock
• The credentials your coding agents use with model providers and other services
• The repositories, terminals, and development environments you connect or control
• Revoking any paired device that is lost, shared, or no longer trusted
• Using reasonable care when approving actions, commands, file changes, or agent requests

Please notify us promptly of any security issue affecting the hosted relay or other CouchCode-operated infrastructure. We are not responsible for losses caused by your failure to secure your own devices, credentials, environment, or development tools.

4. Your Use of CouchCode

You agree not to use CouchCode to:

• Break the law
• Access systems, accounts, files, or data without authorization
• Interfere with or disrupt the service
• Abuse relay infrastructure or attempt to overload systems
• Reverse engineer hosted or proprietary components, except where permitted by law or by an applicable open-source licence
• Circumvent rate limits, security controls, authentication, or access restrictions
• Upload or transmit malware or harmful code
• Use CouchCode in a way that harms other users, third parties, or our infrastructure

We may suspend or terminate access if we believe your use creates risk, violates these Terms, or may harm the service or others.

5. Your Content and Development Environment

You are responsible for the code, files, prompts, terminal commands, agent actions, outputs, approvals, repositories, credentials, secrets, and environments you connect to or control through CouchCode.

CouchCode may transmit, route, display, or process information necessary to provide product functionality.

You retain ownership of your code and content. These Terms do not transfer ownership of your code, prompts, terminal content, or agent output to us.

You grant CouchCode only the temporary, non-exclusive rights needed to transmit, route, display, and technically process your content in order to provide the specific feature you have requested. Those rights last only as long as the processing needed for that feature, except for the limited operational or legal retention described in our Privacy Policy. In Local (LAN) mode, your session content is processed directly between your own devices; in Relay mode, the hosted relay may transiently route your content but does not store your message history.

CouchCode does not receive any licence to use your code, prompts, terminal content, or agent output for model training, advertising, behavioral profiling, unrelated product development, or sale or licensing to third parties.

6. Agent Actions and Approvals

CouchCode may allow you to approve, reject, forward, inspect, or interact with requests from coding agents or development tools.

You are responsible for reviewing actions before approval. Agents may make mistakes. Tools may behave unexpectedly. Commands may modify files, delete data, expose secrets, create costs, or break things in ways that are traditional for software.

You agree that you are responsible for the consequences of actions you approve or initiate through CouchCode.

7. Third-Party Services and Integrations

CouchCode may integrate with or connect to third-party tools, coding agents, model providers, APIs, repositories, cloud services, app stores, and similar services.

We are not responsible for third-party services, their availability, security, behavior, terms, or data practices.

Your use of third-party services may be governed by their own terms and policies.

8. Beta and Experimental Features

CouchCode may include beta, preview, experimental, or pre-release features.

These features may be incomplete, unstable, limited, changed, removed, or unavailable at any time. Use them at your own risk.

You may choose to send us feedback, logs, screenshots, or diagnostic information, and we may use what you voluntarily provide to investigate issues and improve the relevant feature. Any automatic crash, diagnostic, push, or configuration processing is described in our Privacy Policy. Taking part in a beta is not permission for unrestricted usage tracking.

9. Payments and Subscriptions

Paid features may not be offered yet. If and when they are, the price, billing period, any renewal terms, any free trial, applicable limits, taxes, and cancellation terms will be shown to you before you purchase. Purchases made through the Apple App Store or Google Play also remain subject to that store’s billing, cancellation, and refund procedures.

CouchCode does not guarantee refunds except where the applicable purchase terms, the relevant app store’s rules, or applicable law provide one. If a refund is owed, it will ordinarily be limited to the amount actually paid for the affected purchase or, for a prepaid subscription or service period, the unused portion of that payment. CouchCode does not promise any fixed refund or compensation amount. No refund or compensation is owed merely because you changed your mind outside any required withdrawal period, a coding agent made a mistake, your own command changed or deleted files, your environment failed, or a free service was unavailable — unless the applicable purchase terms or applicable law require otherwise.

We may change pricing or paid-plan features in the future and, where required, will give notice before changes apply. Nothing in these Terms limits any refund, withdrawal, price-reduction, conformity, termination, or other consumer remedy that cannot legally be excluded.

10. Availability and Changes

We try to keep CouchCode available and reliable, but we do not guarantee uninterrupted or error-free operation.

We may modify, suspend, limit, throttle, or discontinue free, beta, experimental, or hosted-relay features; change relay limits and fair-use thresholds; introduce paid plans or premium tiers; and offer future versions, expanded capacities, hosted implementations, or premium forms of a feature as part of a paid plan. We may impose usage, rate, storage, connection, traffic, or abuse-prevention limits to protect the service, control costs, or prevent abuse. The hosted relay is included under fair use and may be throttled for heavy or abusive usage. Local (LAN) functionality does not depend on the continued availability of the hosted relay.

For paid features, pricing and material service changes apply prospectively; we do not charge retroactively for past use. If CouchCode discontinues or materially reduces a paid feature during a prepaid service period, you receive any refund, credit, cancellation option, or other remedy required by the applicable purchase terms, app-store rules, or law. Changes apply prospectively and do not retroactively remove rights you have already accrued.

11. Open Source Components

CouchCode is made up of both proprietary components and open-source components. Open-source components — including the daemon, where applicable — are governed by their own published licences, and nothing in these Terms overrides or restricts the rights those licences grant you. You may inspect, modify, or redistribute open-source software as its licence allows.

Where required, notices or licence information may be provided in documentation, repositories, app packages, or related materials. We do not claim ownership of third-party open-source components.

12. Intellectual Property

CouchCode’s proprietary components — including our name, branding, website, hosted service, proprietary software, designs, documentation, and related materials — are owned by us or our licensors, except for content owned by users or third parties and except for open-source components governed by their own licences. Any restriction on reverse engineering applies only to hosted or proprietary components, and not where the law or an applicable open-source licence permits it.

You may not use our branding, logos, or trademarks without permission, except as allowed by law.

13. Feedback

If you provide feedback, suggestions, ideas, bug reports, or improvements, you grant us permission to use them without restriction or compensation.

This does not give us ownership of your underlying code or private project content.

14. Disclaimers

Nothing in these Terms excludes or limits any warranty, remedy, consumer right, or liability that cannot lawfully be excluded or limited.

CouchCode is provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, reliability, and security.

We do not guarantee that CouchCode will be uninterrupted, secure, error-free, or suitable for your specific use case.

15. Limitation of Liability

Nothing in these Terms limits liability that cannot lawfully be limited — including, where applicable, liability for fraud or fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any mandatory consumer rights.

Subject to that, and to the maximum extent permitted by law, CouchCode and the person or entity operating it will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost code, business interruption, security incidents, or development errors.

To the maximum extent permitted by law, CouchCode’s total aggregate liability for claims arising from or relating to a paid service will not exceed the amount actually paid by you for the affected service, whether through CouchCode or an applicable app store, during the three months preceding the event giving rise to the claim. For services provided without charge, CouchCode assumes no monetary liability except to the extent applicable law does not permit that liability to be excluded or limited.

This limitation does not restrict any refund, price reduction, termination right, conformity remedy, or other remedy that applicable law, app-store rules, or the applicable purchase terms require for an affected paid purchase. A refund concerns the affected purchase; this liability cap concerns additional claims, and neither increases nor reduces a legally required refund. Users of free services do not receive automatic monetary compensation.

16. Indemnification

If you use CouchCode as a business or on behalf of an organization, you agree to cover (indemnify) CouchCode and the person or entity operating it against third-party claims, damages, and reasonable costs arising from:

• Unlawful use of the service
• Unauthorized access to third-party systems or data
• Intentional misuse, malware, or abuse
• Violation of third-party intellectual-property or other rights
• Use on behalf of an organization without authority to do so
• Material breach of these Terms

You are not asked to indemnify CouchCode merely because your own agent made a mistake, your own files were changed, your own command caused a local loss, or you used a feature as intended. This section does not apply to consumers to the extent prohibited by applicable law.

17. Termination

You may stop using CouchCode at any time.

We may suspend or terminate your access if we believe you violated these Terms, created risk, caused harm, failed to pay fees, or used the service in a way that may harm us, users, infrastructure, or third parties.

After termination, some provisions will continue to apply, including those related to ownership, disclaimers, limitations of liability, indemnification, and dispute resolution.

18. Governing Law

These Terms are governed by Estonian law, without regard to conflict-of-law rules, but this does not deprive consumers of the mandatory protections available under the law of their country of residence.

For business users, disputes are subject to the competent courts of Tallinn, Estonia. Consumers may bring claims in any court available to them under applicable law, and nothing here overrides non-waivable consumer rights.

19. Changes to These Terms

We may update these Terms from time to time. Updates apply prospectively from the “Last updated” effective date shown above and are not applied retroactively to completed transactions or to rights you have already accrued.

For material changes we will give reasonable notice where appropriate. Continued use of CouchCode after the updated Terms take effect may indicate your acceptance of them. Material changes to an active paid service do not remove any cancellation, refund, termination, or statutory rights required by law.
